General Terms and Conditions of Use Agreement

These Terms and Conditions (“Terms”, “Agreement”) govern all users of www.aminosupply.com (the “Website”) and all products and services offered by Amino Supply LLC (“Amino Supply”, “we”, “us”, “our”).

By accessing or using this Website, creating an account, or making a purchase, you (“Customer”, “you”, “your”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy and Shipping, Returns & Refunds Policy.

Payment Processing

Accepted Payment Methods

We offer multiple secure payment options to complete your purchase. By submitting payment information to us, you confirm that you are authorized to use the payment method provided.

We currently accept:

Major credit and debit cards processed securely through ShieldClimb, our third-party payment processor
Cryptocurrency payments processed via ShieldClimb’s digital asset payment system
ACH/eCheck transfers
Zelle transfers

Third-Party Payment Processors

All credit/debit card and cryptocurrency transactions are processed by ShieldClimb, a secure third-party payment processor. Amino Supply LLC does not store your complete credit card or cryptocurrency wallet information on our servers.

For ACH/eCheck and Zelle payments, processing is handled through banking networks and/or third-party financial service providers. We do not store your bank account login credentials.

All ACH/eCheck payments will be made payable to Amino Supply LLC.

You authorize Amino Supply LLC to initiate a single ACH/electronic debit to your account in the amount of your purchase for each order placed.

Authorization and Payment Terms

By submitting your payment information, you authorize us (and our payment processors) to charge the total amount of your order, including product costs, shipping fees, and any applicable taxes.

Payment must be received in full at the time of order placement and before shipment. To complete the checkout process, you must agree to these Terms and Conditions and authorize the payment transaction.

It is recommended that you print a copy of this authorization and maintain it for your records.

Security

We employ SSL encryption and rely on ShieldClimb’s PCI-DSS compliant infrastructure for credit and debit card processing. All payment data is transmitted securely and encrypted during transmission.

Failed or Reversed Payments

If your payment is declined, reversed, or subject to chargeback, we reserve the right to suspend or cancel your order and terminate your account. You remain responsible for any amounts owed to Amino Supply LLC, including collections costs and legal fees.

Chargeback and Payment Disputes

DUE TO THE NATURE OF OUR PRODUCTS AND THE RESEARCH USE ONLY DESIGNATION, ALL SALES ARE FINAL AND NON-REFUNDABLE. CHARGEBACKS ARE STRICTLY PROHIBITED EXCEPT FOR VERIFIED UNAUTHORIZED FRAUD.

By making a purchase, you agree to the following:

You will not initiate chargebacks, payment reversals, or disputes for any reason other than unauthorized fraudulent charges to your account
All product quality concerns, shipping issues, or other complaints must be resolved directly with Amino Supply LLC through service@aminosupply.com
Initiation of a chargeback or payment dispute (except for verified fraud) constitutes a material breach of these Terms and may result in immediate account termination
Fraudulent chargebacks will result in immediate and permanent account termination, reporting to fraud prevention databases, and potential legal action to recover our costs and damages

Export Control and International Compliance

US-Only Sales and Export Prohibition

Amino Supply LLC ships ONLY to addresses within the United States. We do not accept international orders or ship products outside of the United States.

ALL EXPORTATION OF PRODUCTS IS STRICTLY PROHIBITED. You agree that you will not export, re-export, or transfer any products purchased from Amino Supply LLC to any foreign country or international destination, regardless of the purpose.

Customer Compliance Obligations

Prohibited Uses and Conduct

Persons located outside the United States or intending to export products internationally

Resellers, distributors, or any person intending to resell products without express written authorization from Amino Supply LLC

Product Misrepresentation Prohibition

You expressly agree that you will NOT:

Relabel or repackage any products purchased from Amino Supply LLC
Remove, alter, or obscure any warning labels, safety information, or product identification
Misrepresent the source, origin, manufacturer, or distributor of any products
Make any health claims, therapeutic claims, or medical claims about products

Limitation of Liability

Maximum Liability Cap

YOU AGREE THAT THE AGGREGATE LIABILITY OF AMINO SUPPLY LLC ARISING FROM OR RELATED TO YOUR USE AND ACCESS TO THE WEBSITE AND/OR YOUR PURCHASE OF PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS IN THE ORDER GIVING RISE TO THE CLAIM.

Exclusion of Consequential Damages

Dispute Resolution and Arbitration

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, your purchase, or your use of the Website shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

Location of Arbitration

Unless otherwise required by law, the arbitration shall take place in Sheridan, Wyoming, or be conducted remotely via videoconference or telephone at the discretion of the arbitrator.

Class Action Waiver

You and Amino Supply LLC agree that any proceedings shall be conducted only on an individual basis, and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Opt-Out Right

You have the right to opt out of this arbitration agreement. To opt out, you must send written notice to us within 30 days of your first purchase or acceptance of these Terms, whichever is earlier.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Subject to the binding arbitration provisions set forth above, any legal action or proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

Statute of Limitations

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THIS WEBSITE, PURCHASE OF PRODUCTS, OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT SHALL BE FOREVER BARRED.

These Affiliate Terms of Use (“Terms”) form a binding agreement between Amino Supply LLC (“Company,” “we,” “our”) and you (“Affiliate,” “you”). By signing up for or participating in the Affiliate Program (“Program”), you agree to follow these Terms, all posted policies, and all applicable laws and regulations.

These Terms are written in clear, understandable language while maintaining legal and compliance integrity.

1. Eligibility

To join our Affiliate Program, you must:

Be 21 years of age or older
Provide accurate registration information
Operate marketing channels that follow legal and industry standards

We may approve or deny applications at our discretion.

2. Nature of Products (RUO – Research Use Only)

All products sold by Amino Supply LLC are Research Use Only (RUO). They are:

Not for human consumption
Not for therapeutic, diagnostic, or medical use
Not approved by the FDA or any regulatory agency for human application

Your marketing must never suggest or imply otherwise.

3. RUO Compliance Requirements

As an Affiliate, you agree to:

Avoid any language implying human use, safety, or health benefits
Avoid medical, therapeutic, or performance-enhancing claims
Use all disclaimers exactly as provided by the Company
Present products accurately and only for legitimate research purposes

Failure to follow RUO compliance rules is grounds for immediate termination and forfeiture of earned store credit.

4. Acceptable Marketing Practices

You may promote our products through websites, social media, email, or other approved channels, provided you:

Use truthful, non-misleading statements
Use only approved branding, images, and product descriptions
Follow all platform advertising rules (Google, Meta, TikTok, etc.)
Follow all FTC disclosure rules (e.g., stating you earn commission)

We have zero tolerance for RUO compliance violations.

If we find any marketing statement that violates RUO rules or these Terms, we may cancel your account and claw back any awarded store credit.

5. Prohibited Conduct

You may not:

Suggest, imply, or encourage human use in any form
Make medical, biological, or performance claims
Use unapproved or altered product descriptions
Promote to audiences seeking substances for human enhancement
Run paid ads on Company trademarks without permission
Engage in spam, deceptive marketing, or impersonation
Create fake reviews or manipulate engagement
Copy or reproduce Company product labels, COAs, or documents

Violations may lead to immediate termination.

6. Commission Structure

All commissions are paid exclusively in store credit redeemable at aminosupply.com
Store credit is issued only for qualifying sales tracked through your affiliate link
Sales resulting in refunds, chargebacks, or fraud are not eligible
Store credit may be revoked if earned through prohibited activity

Store credit has no cash value and cannot be exchanged or transferred.

7. Payments & Tax Responsibility

Although commissions are paid in store credit, you acknowledge:

Store credit may have taxable value depending on your jurisdiction
You are solely responsible for reporting or paying any taxes required

We do not provide tax advice.

8. Intellectual Property

We grant you a limited, revocable license to use our approved marketing materials. You may not:

Modify or alter our trademarks or logos
Use branding in misleading or confusing ways
Continue using Company materials after termination

Any misuse may result in legal action.

9. Confidentiality

If you receive non-public information (commission rates, strategy, media, etc.), you agree not to share, disclose, or distribute it without written permission.

This obligation continues even after termination.

10. No Human Use Affirmation

You acknowledge and affirm that you will:

Never market our products toward human consumption or use
Never imply biological effects in humans
Never target content toward “biohackers,” “research chemical users,” or similar audiences

Violations are treated as major compliance breaches.

11. Affiliate Sales Restrictions

You may not:

Target minors
Market products in jurisdictions where such advertising is illegal
Use any marketing angle that could reasonably imply human administration

Your responsibility includes ensuring your promotional channels remain compliant at all times.

12. Termination

We may suspend or terminate your account at any time, with or without cause, including:

RUO compliance violations
Misleading or illegal marketing practices
Fraudulent activity
Inactivity
Breach of any section of these Terms

Upon termination:

You must remove all Company promotional materials
You may no longer represent yourself as an Affiliate
Store credit obtained through violations may be forfeited

13. Limitation of Liability

Amino Supply LLC is not responsible for:

Damages resulting from your marketing activities
Loss of income, profits, or opportunities
Third-party actions or violations caused by you

Your participation is voluntary and at your own risk.

14. Indemnification

You agree to indemnify and hold the Company harmless against claims, losses, or legal issues arising from:

Your violation of these Terms
Your breach of any laws or platform rules
